Terms of Service

These terms of service apply to the use of our website and services. By using Skedle, you agree to these terms.
1. Definitions
In these terms, the following definitions apply:
- Skedle: the company providing these services
- Customer: the natural or legal person using our services
- Services: all SaaS services, software and supporting services provided by Skedle
- Website: the website accessible via skedle.be and all subdomains
- User: any person who has access to the services
2. Applicability
These general terms and conditions apply to all offers, agreements and deliveries of services by Skedle. Deviating terms and conditions of the customer are expressly rejected, unless otherwise agreed in writing.
3. Formation of agreement
An agreement is formed by:
- Accepting a quote issued by Skedle
- Digitally confirming an order via our website
- Signing a service agreement
- Actually using our services after registration
4. Service delivery
Skedle provides SaaS services for staff planning and contract optimization. The exact specifications of the services are described in the service agreement or product documentation.
4.1 Availability
We strive for 99.5% uptime. Planned maintenance work will be announced in advance.
4.2 Support
Support is provided during office hours (09:00-17:00, weekdays) via email and phone.
4.3 Updates
Software updates are automatically implemented. Major changes will be communicated in advance.
5. Customer obligations
The customer is committed to:
- Providing accurate and complete information
- Paying due amounts on time
- Complying with usage guidelines and legal provisions
- Not reselling or sharing access credentials
- Reporting security incidents or abuse
6. Prices and payments
All prices are exclusive of VAT and other charges, unless otherwise stated.
6.1 Payment term
Invoices are payable within 30 days of invoice date.
6.2 Price changes
Prices may be adjusted annually with a notice period of 2 months.
6.3 Non-payment
In case of non-timely payment, services may be suspended and legal interest is due.
7. Data processing and privacy
For the processing of personal data, we refer to our Privacy Policy. The customer guarantees that all data provided to us has been obtained lawfully.
8. Intellectual property
All intellectual property rights to the software and documentation rest with Skedle. The customer only obtains a right of use for the duration of the agreement.
9. Liability
Skedle's liability is limited to:
- Direct damage up to a maximum of the amount of annual service costs
- Damage covered by our business liability insurance
- Damage that is the direct result of intent or gross negligence by Skedle
Skedle is not liable for indirect damage, consequential damage, lost profit or damage due to loss of data.
10. Termination
Agreements can be terminated with observance of the agreed notice period (minimum 1 month). Upon termination, all rights to use the software expire.
11. Force majeure
Skedle is not obliged to fulfill obligations if it is prevented from doing so by circumstances beyond its control, such as natural disasters, war, terrorism, pandemics or government measures.
12. Applicable law
Belgian law applies to all agreements with Skedle. Disputes will be submitted to the competent court in Skedle's place of establishment.
13. Changes
Skedle reserves the right to change these general terms and conditions. Changes will be communicated at least 30 days before they take effect.
14. Final provisions
If one or more provisions of these terms are invalid, the remaining provisions remain in force. Invalid provisions will be replaced by valid provisions that correspond as closely as possible to the original purpose.
